End User License Agreement (EULA)

1. Agreement to License
This End User License Agreement ("EULA") is a legal agreement between you ("Licensee," "you," or "your") and OsintCat ("Licensor," "we," "us," or "our") governing your use of the OsintCat software, web application, API, and related services (collectively, the "Software" or "Service").
By accessing, downloading, installing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, you may not use the Software.
2. Grant of License
2.1 Limited License
Subject to your compliance with this EULA and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the OsintCat web application through a web browser
- Use the OsintCat RESTful API for programmatic access to our services
- Integrate the API into your own applications for internal use
2.2 License Restrictions
This license does NOT permit you to:
- Copy, modify, adapt, alter, translate, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software or any features or functionality of the Software to any third party
- Use the Software to create a competing product or service
- Use the Software in any manner that violates applicable laws or regulations
- Use the Software to infringe upon the rights of others
3. API Usage Terms
3.1 API Access
API access is available to users with qualifying subscription plans. API access is granted on a per-account basis and is subject to:
- Rate limiting based on your subscription tier
- Usage quotas and daily request limits
- IP address whitelisting requirements (for certain plans)
- Compliance with our Terms of Service and Acceptable Use Policy
3.2 API Key and License Key Management
STRICTLY PROHIBITED: API keys and license keys are confidential credentials that must be kept secure and private. You are responsible for:
- Keeping your API keys and license keys secure, confidential, and private at all times
- NOT sharing, publishing, exposing, distributing, or transferring API keys or license keys to any third party under any circumstances
- NOT embedding API keys in client-side code, public repositories, public websites, or insecure storage
- NOT creating proxy services, wrappers, or intermediaries that expose API access to others
- NOT providing API keys or license keys to others, even temporarily or for testing purposes
- NOT using API keys or license keys belonging to other users
- Immediately notifying us if an API key or license key is compromised
- Using API keys only for your own account and applications
Violation of API key or license key security policies will result in immediate license revocation, permanent account termination without refund, and may result in legal action for damages.
We actively monitor for key sharing violations through IP address analysis, usage patterns, and other security measures. Any detected violation will be met with immediate enforcement action.
3.3 API Rate Limits
API usage is subject to rate limiting to ensure fair usage and system stability. Rate limits are enforced per API key and vary by subscription plan. Attempting to circumvent rate limits is prohibited and may result in license termination.
3.4 API Documentation
API documentation is provided "as is" and may be updated without notice. You are responsible for keeping your integrations compatible with API changes.
4. Intellectual Property Rights
4.1 Ownership
The Software, including all code, designs, graphics, text, data, algorithms, and other materials, is the exclusive property of OsintCat or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.
4.2 Reservation of Rights
All rights not expressly granted to you in this EULA are reserved by OsintCat. This EULA does not grant you any rights to use our trademarks, service marks, logos, domain names, or other brand features.
4.3 Feedback and Contributions
If you provide feedback, suggestions, or ideas about the Software, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Software without any obligation to compensate you.
5. Data and Privacy
Your use of the Software is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Software, you consent to our data practices as described in the Privacy Policy.
You acknowledge that:
- We process your queries and usage data as necessary to provide the Service
- We do not permanently store your search queries or results
- We may log IP addresses and usage statistics for security and service improvement purposes
6. Updates and Modifications
We reserve the right to:
- Update, modify, or discontinue features of the Software at any time
- Change API endpoints, request/response formats, or functionality
- Require you to update your integrations to maintain compatibility
- Discontinue support for older API versions with reasonable notice
We are not obligated to provide updates, but when updates are provided, they may be subject to additional terms.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Software is provided "as is" and "as available." We are not liable for:
- Service interruptions or downtime
- Loss of data or functionality
- Incompatibility with your systems or applications
- Changes to third-party data sources that affect results
8. Warranty Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA
We do not warrant that the Software will meet your requirements, operate without interruption, be error-free, or that defects will be corrected.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OSINTCAT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
Our total liability for any claims arising from or related to this EULA or the Software shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless OsintCat and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use of the Software
- Your violation of this EULA
- Your violation of any third-party rights
- Any data or content you submit or transmit through the Software
11. License Termination
11.1 Termination by You
You may terminate this license at any time by discontinuing use of the Software and deleting your account.
11.2 Termination by Us
We may terminate or suspend your license immediately, without prior notice, if:
- You violate this EULA or our Terms of Service
- You engage in illegal activities or misuse of the Software
- You share, sell, transfer, or allow access to your account, API keys, or license keys (ZERO TOLERANCE POLICY)
- You create multiple accounts to circumvent usage limits or restrictions
- You fail to pay required subscription fees
- We detect account sharing, key sharing, or unauthorized access through our monitoring systems
- We determine, in our sole discretion, that termination is necessary to protect our rights or the Service
Account sharing and key sharing violations result in permanent license revocation and account bans with no possibility of appeal or refund.
11.3 Effect of Termination
Upon termination:
- Your right to use the Software immediately ceases
- You must immediately stop using the Software and API
- You must delete or destroy all copies of API keys and related materials
- We may delete your account and associated data
Sections of this EULA that by their nature should survive termination will survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification.
12. Export Restrictions
You agree to comply with all applicable export control laws and regulations. You may not export or re-export the Software in violation of any applicable laws or regulations, including but not limited to the export control laws of Germany, the European Union, and the United States.
13. Governing Law and Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any disputes arising from or relating to this EULA shall be subject to the exclusive jurisdiction of the courts of Hamburg, Germany.
14. Severability
If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and OsintCat regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
16. Modifications to EULA
We reserve the right to modify this EULA at any time. Material changes will be communicated to you via email or through a prominent notice on our platform. Your continued use of the Software after such modifications constitutes your acceptance of the updated EULA.
